PREAMBLE
This Charter Agreement establishes the foundational principles, governance structure, rights, obligations, and operational standards of Kenya Coffee School.
Kenya Coffee School exists to advance coffee education, skills development, research, innovation, value addition, and dignified livelihoods across the coffee value chain, while promoting sustainability, ethical trade, and global excellence rooted in Kenyan coffee heritage.
This Charter serves as a formal agreement governing Kenya Coffee School’s relationships with students, staff, trainers, partners, collaborators, institutions, sponsors, and affiliated entities.
ARTICLE I — ESTABLISHMENT & LEGAL NATURE
- Kenya Coffee School is established as an independent professional education and training institution.
- The School operates as a non-political, non-discriminatory, and merit-based institution.
- This Charter constitutes a binding institutional framework agreement guiding all formal engagements entered into by Kenya Coffee School.
ARTICLE II — PURPOSE & MANDATE
2.1 Purpose
To train, certify, and empower professionals across the coffee and beverage ecosystem through world-class education, applied skills, research, and innovation.
2.2 Mandate
Kenya Coffee School is mandated to:
- Deliver internationally competitive coffee education
- Promote specialty coffee excellence and innovation
- Support local consumption and value addition
- Create pathways to dignified employment and entrepreneurship
- Preserve coffee culture, heritage, and sustainability
- Act as a knowledge hub linking farmers, roasters, baristas, researchers, and markets
ARTICLE III — SCOPE OF THE CHARTER AGREEMENT
This Charter governs relationships involving:
- Enrollment and training of students
- Employment and engagement of trainers and staff
- Partnerships with institutions, companies, and governments
- Joint ventures and collaborative projects
- Research, innovation, and intellectual property
- Events, competitions, certifications, and awards
- Use of Kenya Coffee School brand, curriculum, and assets

To be a global reference institution for coffee skills, sustainability, innovation, and human capital development rooted in Kenya.

ARTICLE V — GOVERNANCE & MANAGEMENT
5.1 Founder’s Role
The Founder provides:
- Visionary leadership
- Institutional guardianship
- Strategic direction and values stewardship
The Founder does not interfere with academic independence or evaluation integrity.
5.2 Management
Day-to-day operations are managed by an appointed leadership team responsible for:
- Academic delivery
- Administration and finance
- Partnerships and compliance
- Student welfare and outcomes
5.3 Advisory & Academic Boards
Kenya Coffee School may establish advisory and academic boards comprising industry, academic, and technical experts.
ARTICLE VI — ACADEMIC & PROFESSIONAL STANDARDS
- All programs shall meet industry-recognized professional standards.
- Training emphasizes:
- Practical competence
- Ethics and professionalism
- Safety and quality control
- Certification is based on merit, demonstrated skills, and assessment integrity.
- Academic freedom is protected within ethical and professional boundaries.
ARTICLE VII — PARTNERSHIPS & COLLABORATION AGREEMENTS
- Kenya Coffee School may enter into Charter Agreements with:
- Coffee farms, cooperatives, and estates
- Roasteries and cafés
- Hotels, airlines, cruise ships, and embassies
- Research institutions and universities
- Government and development partners
- All partnerships must:
- Be documented in writing
- Align with this Charter
- Respect intellectual property and brand integrity
- Avoid conflicts of interest or exploitation
ARTICLE VIII — STUDENT & PARTICIPANT RIGHTS AND OBLIGATIONS
Rights
- Access to quality training
- Fair assessment and certification
- Safe and respectful learning environment
- Data protection and privacy
Obligations
- Adherence to codes of conduct
- Respect for trainers, peers, and facilities
- Ethical representation of Kenya Coffee School credentials
ARTICLE IX — INTELLECTUAL PROPERTY & BRAND USE
- Kenya Coffee School retains ownership of:
- Curricula
- Training materials
- Certification frameworks
- Brand identity and trademarks
- Unauthorized reproduction, misuse, or misrepresentation is prohibited.
- Co-branding requires written authorization.
ARTICLE X — ETHICS, COMPLIANCE & SAFEGUARDS
- Zero tolerance for:
- Fraud or certificate falsification
- Discrimination or harassment
- Greenwashing or unethical trade practices
- All stakeholders must declare conflicts of interest.
- Disciplinary and appeals procedures shall be documented and enforced.
ARTICLE XI — FINANCIAL & COMMERCIAL PRINCIPLES
- Fees, contracts, and commercial engagements shall be:
- Transparent
- Documented
- Auditable
- Revenue shall support:
- Training quality
- Institutional sustainability
- Social and environmental mission
ARTICLE XII — DATA PROTECTION & CONFIDENTIALITY
Kenya Coffee School commits to:
- Responsible handling of personal and institutional data
- Compliance with applicable data protection laws
- No unauthorized sharing or commercial exploitation of data
ARTICLE XIII — DISPUTE RESOLUTION
- Disputes shall first be resolved amicably through dialogue.
- Failing resolution, disputes may proceed to:
- Mediation
- Arbitration
- Courts of competent jurisdiction in Kenya
ARTICLE XIV — AMENDMENTS & REVIEW
- This Charter may be reviewed periodically to reflect:
- Industry evolution
- Legal and regulatory changes
- Institutional growth
- Amendments require formal approval by the governing authority of Kenya Coffee School.
ARTICLE XV — ADOPTION
This Charter Agreement is hereby adopted as the supreme governing framework of Kenya Coffee School and applies to all agreements, partnerships, and engagements entered into under its name.
